These terms are for merchants whose business is registered in India. They apply from the moment you open an account; signup is not yet open, and nothing here is an offer to open one before it is.
1. Who we are, and who these terms are between
1.1 These terms are an agreement between you — the person or business opening a store — and TECHNOSTAT LABS LLP, a limited liability partnership registered in India (LLPIN ADC-0087, registered with limited liability; GSTIN 29ABAFT8298C1ZR), registered office at No. 347, 41st Cross, 8th Block, Jayanagar, B Sk II Stage, Jayanagar, Bangalore South, Bangalore – 560070, Karnataka, India ("we", "us", "the platform"). "RaxCube" is our brand, and these terms apply to the service wherever we run it, including our test and review environment at raxcube.net and raxcube.store, which is the same service and not open for trading. Any earlier brand name shown on this service referred to the same entity.
1.2 By ticking the box on the signup page you confirm that you have read these terms, that you accept them, and that you have authority to accept them for the business you are signing up. If you sign up for a company, partnership or other body, "you" means that body, and you personally confirm that you are entitled to bind it.
1.3 You must be at least 18 years old and legally able to enter into a contract.
1.4 We are an independent software provider. Nothing in these terms makes either of us the agent, partner, employee or joint venturer of the other, and neither of us may bind the other.
1.5 Every version of these terms that we have ever published is kept. When you accept, we record which version was on your screen, the date and time, and the address and browser you accepted from. You can ask us for that record by email to legal@raxcube.com.
2. Your account and your staff
2.1 You sign in in one of two ways: with your Google account, or with your email address and a password. Either way, your account is your email address. A password is set only through a link we email to that address, never typed into a signup form, and we store it in a form nobody here can read.
2.2 If you use a password, every sign-in also asks for a code from an authenticator app on your phone. This second step cannot be switched off, and there are no backup codes. If you lose the phone, you can ask us to remove the authenticator: we tell you and every other owner of your store that it was asked for, and we wait 72 hours before doing it, so that the real owner has time to stop a request made by someone who has got into your email. We will not shorten that wait.
2.3 Keep control of everything that lets someone in: the Google account or password, the mailbox itself, and the phone with the authenticator. Anyone who can sign in can reach your store admin.
2.4 The email address on that account is your account email. Every notice under these terms goes there — invoices, renewal reminders, reminders about setup steps still to do while your store is being set up (sent to owners only, at most once a week, and stopping when the steps are done or the store opens or closes), warnings before a store is paused or closed, and changes to these terms. These are service messages about your account, not marketing, and have no unsubscribe link. Tell us if it changes; a notice sent to the last address you gave us counts as given.
2.5 Whose instructions we act on. We act on instructions about your account only when they are given inside your store admin, or sent from your account email. For anything that cannot easily be undone — closing your account, releasing or transferring a domain, removing an authenticator, changing the account email — we also ask you to confirm, either inside the admin or through a link we send to your account email. A message from any other address, or by phone, is not an instruction, however urgent it says it is.
2.6 You may give staff access to your admin. A staff account can reach your catalogue, orders and pages, and never your billing. You are responsible for everything done through your account and your staff accounts. The personal data of your staff is processed by us on your behalf under Schedule 1.
3. What we provide, and how it changes
3.1 We provide a hosted online store: a shopfront, an admin, a catalogue, order handling, invoicing, a returns and complaints system, reviews and reward points, and — where your plan includes them — the Studio, the AI assistant, search, social publishing, and a custom domain. What your subscription includes is whatever is listed on your billing page. That page is the authoritative list, not this document and not our marketing pages. Every plan has ordinary search, matching the words a shopper types against product names, subtitles and codes. Where your plan includes search by meaning, it runs up to a daily limit for the store stated on your billing page (5,000 searches by meaning a day for the store, and no more than 50 a day from any one shopper's internet address; a search by meaning runs only when the shopper presses Enter); past the limit the search box quietly runs ordinary search until midnight India time, and a shopper is never refused. Search shows only the product types your plan currently covers.
3.2 We improve, change and occasionally remove features. Where a change removes something you are paying for, we will tell you at least 30 days before it happens, and you may cancel the remainder of your term for a proportionate refund of that item.
3.3 We do not sell your products, hold your stock, take your customers' money, or contract with your customers. Your store is yours; we provide the software it runs on.
3.4 Custom work. Work built for your store alone is quoted by a person and agreed in a separate written custom-work agreement; it is never self-serve. Unless that agreement says otherwise, we own the code and you receive a licence to use the feature on your store for as long as it is maintained; we may offer the same feature to other stores, unless you have paid for an exclusivity period or for the feature to remain yours alone with a yearly maintenance charge; and when the agreement ends the feature is switched off for your store and no code is handed over.
4. The free trial and the card check
4.1 A new account may open one store on a free trial of thirty days from signup. The trial is your admin and a private preview of your storefront, marked "Preview only", which only you and the people you give admin access to can see; it is not a period of trading.
4.2 A trial store never opens to shoppers: visitors are told it is not open, search engines are asked not to list it, and it takes no orders and no payments. A trial has one product category, the one chosen at signup; you may line up more under Billing during the trial, and they appear on your first bill and switch on when your first paid term is paid, which needs at least one category on the list. A paid signup may take several categories, each beyond your plan's included number charged.
4.3 During the trial you cannot connect a payment gateway, a courier, or an Instagram, Facebook or WhatsApp account, and cannot buy or connect a domain; you can disconnect or remove any of them.
4.4 A store opens to shoppers only on a paid term, on its permanent address, once its business details have been verified against the government register and confirmed as yours (clause 9.12), and once the other steps in your admin are done, whatever your plan.
4.5 If the thirty days end without a paid term, the store is parked: your admin is limited to billing, nothing is deleted, and starting a paid term brings everything back.
4.6 At signup we charge ₹1 by card or UPI to confirm the payment instrument is real and refund it straight away; a check paid any other way is refunded in full and you are asked to pay it again by card or UPI. It is a verification, not a payment for anything, and no invoice is issued for it.
4.7 One trial per account, and the trial comes with your first store, whichever way it was opened: a store we set up for you, or made you an owner of, counts as that first store, and a signup from an email address that already has a store with us joins that account and has no trial, its first term charged at signup before the store is set up. If we cannot check this at signup, we take no payment until we can. We never see or keep your card number or your UPI ID as such. We keep a one-way, keyed fingerprint of the card or UPI ID used at signup, and a record of which signups used the same one, so that our team can review repeated trials and misuse; it does not block a signup on its own, we use it for nothing else, and it is deleted three years after signup.
4.8 Every new store, on the trial or not, starts on a temporary address we assign, and cannot open on it.
4.9 You choose your store's permanent address once, in your admin, after paying for your first term; afterwards it changes only on request, for the fee on your billing page (clause 12.2). The temporary address forwards to the permanent one for a few weeks, then stops, and is never given to anyone else.
5. Fees, invoices and GST
5.1 Prices on our pricing page and billing page are shown before GST, with GST shown separately, and the total you will pay is shown before you confirm any purchase.
5.2 GST is charged at the rate in force on the date of the invoice, currently 18%, under our registration 29ABAFT8298C1ZR (Karnataka). Place of supply is the state of your GSTIN; otherwise the state of the billing address on your billing page, which you must give before you pay; we charge CGST and SGST where that state is Karnataka and IGST otherwise. If you hold a GSTIN we invoice you as a registered person under that GSTIN; if you do not, we invoice you as an unregistered person at that address. It is your responsibility to keep your legal name, GSTIN and billing address correct; we do not amend an issued tax invoice because they were wrong.
5.3 Where an invoice is reduced — because money is refunded to you, because a service was not provided, or because an invoice was raised in error — we issue a credit note against it. We do not amend or delete an issued tax invoice.
5.4 Anything you add during a term is charged proportionately to the days remaining in that term. Anything you remove takes effect at the next renewal; there is no mid-term refund for a removal.
5.5 We email you before each renewal — seven days before for a monthly term, thirty days before for a yearly one — with the amount due. If the renewal is not paid, your store keeps trading for three days after the term ends while we retry the payment daily for seven days; after that the store is parked: the shopfront closes, your admin becomes read-only, and nothing is deleted. Paying restores it. If you pay within those seven days, your new term runs on from the day the old one ended. If you pay later, your new term starts three days before the day you pay, so that the days your store could still trade unpaid are paid for, and the days it was closed are not charged. A store whose owner has asked to pause or cancel closes exactly when its paid term ends, with no further trading days.
5.6 Tax deducted from what you pay us (TDS). Our prices are paid in full at checkout or by autopay, so there is no way to hold part of a payment back. If the law requires you to deduct tax at source from what you pay us, pay us in full, deposit the tax you deducted, and send the TDS certificate to billing@raxcube.com within 30 days of the end of the quarter in which you paid. Once the amount shows against our tax account (Form 26AS / AIS), we refund it to the account you paid from. We do not refund a deduction we cannot see against our tax account, and we cannot refund one after the end of the financial year following the year of payment. Most individual and small-business merchants do not have to deduct anything; ask your tax adviser whether you do.
6. Terms, renewal, autopay and cancellation
6.1 A subscription runs for a term — a month or a year — and renews for a further term unless you cancel before it ends.
6.2 The price at renewal may differ from the price you paid in the first term. If it does, we will email you the new price at least 15 days before the renewal date and before the last day on which you can cancel. Your billing page always shows the next debit date, the amount, and the last day to cancel.
6.3 Autopay. Autopay is available for monthly terms and, for automatic credit top-ups under clause 7.9, for yearly terms as well. You register a payment mandate with your bank or UPI app for debits of up to ₹15,000 per debit, presented as and when a renewal or a top-up you have asked for falls due. The limit is above your bill so that a price change or an add-on does not need a new mandate; you are only ever charged the invoice amount, and a bill above the limit is never debited automatically — we invoice it instead. Your bank or UPI app will notify you at least 24 hours before each debit with the exact amount, and you can decline it or turn autopay off at any time from your billing page or your bank. So that we can tell your bank the exact amount, changes to the next bill close five days before the renewal date; a change made after that takes effect from the following term. Yearly terms are paid by invoice. On a monthly term with no autopay in place, paying a bill within ₹15,000 can also register the mandate in the same payment step, with a card only: before you pay, the screen states that future monthly bills and any credit top-ups you ask for will then be taken from that card automatically up to ₹15,000 a payment, that your bank tells you at least 24 hours before each and you may refuse any one from that notice, and that you can turn autopay off on your billing page at any time, after which you pay each bill yourself and nothing else about your plan changes; you confirm this in an unticked box before paying, and we record your confirmation with its exact wording and version, the amount, the time, your account email, and the address and browser you confirmed from, for as long as your account is open and three years after it closes. You may instead pay the bill alone, without registering autopay, by any payment method. Turning autopay off only revokes the mandate; it never pauses your store or blocks a renewal. A bill above ₹15,000 is never registered for autopay and is never split into two debits; it is paid by hand.
6.4 If you have not set up automatic payment, the invoice is payable by its due date.
6.5 Cancellation. You may cancel a subscription at any time from your billing page. Cancelling stops the next renewal; it does not refund the term you are in, except under clause 3.2, clause 22.4 or where the law requires. Every store begins with a free trial, so you can use the platform before you pay for it.
6.6 Paused stores. If your store is paused under clause 7.6, 11.5, 19.3 or 19.4, your subscription and its renewals continue while it is paused: your admin, your data and your ability to put the pause right stay available, and the pause ends when its cause does. If you do not want the next term, cancel renewal from your billing page before the change lock five days before the renewal date. While your store is paused, your admin shows a notice that cannot be dismissed with the next debit date and the last day to cancel, and we email the same to your account email.
6.7 Complimentary terms. We may give a store a complimentary term of a stated length, at our discretion. It carries the plan's features, nothing is charged for it, no invoice is issued and no credits come with it. While it runs nothing on your billing page is priced or sold: you cannot add items, move up a tier or add a storage pack yourself; if you ask, we may add a category or an add-on to it free for the rest of the term, at our discretion, and storage packs are never part of a complimentary term; you may still mark an item to end at renewal, and you may queue a change between monthly and yearly billing for a paid term you later buy. A complimentary term is never renewed automatically, autopay included; it ends like any other unpaid term, with a week to renew and the store then parked (clause 5.5). If one is given while a paid term is running, it is recorded at once and starts the day that term ends, and until then nothing changes: your paid term stays the term on record, and you may add items, move up a tier or change storage, charged for the paid days left as on any paid term, but the paid term is not renewed and no renewal is debited or taken while the complimentary term waits. When it starts, anything bought for those days ends with them and nothing is refunded, because it was charged only up to that day: a tier moved up returns to the plan the term was given on, a storage pack returns to the one held when it was given, and other add-ons end; your billing page tells you this before you buy, and we may add any of them to the complimentary term free once it runs. If you ask to stop your store before a queued complimentary term starts, it is withdrawn; we may also withdraw one that has not yet started, and one that cannot be started on the plan it was given on is withdrawn automatically; either way we email your billing contact saying why, your paid term is unaffected, and your store returns to the ordinary renewal path under clause 5.5. A complimentary term that has started is not withdrawn.
7. Credits
7.1 Credits are a prepaid unit for the Studio, the AI assistants, storage above your included allowance, and business-register checks you ask for after your first two (clause 9.12). You buy credits in advance and they are spent as you use those features. Every AI feature spends credits on every plan, Ultra included: a plan gives you the feature and the credits it includes, not free use of it, so Studio pictures and video, the AI build assistant's replies, and the Virtual Assistant's replies and voice readouts are each charged at the rates on your credits page, and once the included credits are spent you top up in advance; nothing is charged silently. Credits are not money. Except under clause 19.7, they are not refundable for money, cannot be transferred to another account, cannot be cashed out, and can be spent only on services we provide.
7.2 What an action costs in credits can change. The models behind these features are bought from other companies, their prices move, and when they move ours follow. We may reduce what an action costs at any time. We may increase it only on seven days' notice by email and on your credits page. A quote shown to you before you confirm an action is the rate that action is charged at, even if the rate changes a moment later.
7.3 A rate change alters what a new action costs. It never retrospectively debits a balance, never reprices something you have already generated, and never reduces the number of credits in your wallet. In plain words: you are not buying "one hundred images" when you buy credits — you are buying one hundred credits, and what they will buy is whatever the rate says on the day you spend them.
7.4 The rate in force is always shown before you spend — on your credits page, on the pricing page, and on the screen where you press the button.
7.5 Expiry. Each purchase of credits expires 36 months after the day it was bought, and the credits closest to expiry are spent first. We email you 45, 30, 7 and 1 days before a batch expires. Expired credits are not refundable and cannot be reinstated except at our discretion.
7.6 Storage. Your plan includes the gallery storage shown on your billing page for the photographs and video you upload or the Studio makes; a store on its free trial has 300 MB. Photographs your customers attach to reviews are always accepted and never count towards any storage charge. When your gallery is full your store refuses new uploads, and restores from the bin, until you delete files or add space; the Studio warns you before generating that a result cannot be saved and must be downloaded. You may add one storage pack at a time, from the sizes and prices on your billing page, once your first paid term has started; a pack renews with your plan on the same bill. A larger pack takes effect at once and is charged for the rest of the term in proportion, paid first; a smaller pack, or ending the pack, takes effect at renewal; pack changes close five days before renewal as other changes do (clause 6.3). Storage within your allowance and pack is not charged by the day. If your allowance shrinks because you move to a smaller plan or pack or end a pack, the storage you still hold above the new allowance is charged in credits at the rate on your credits page, currently ten credits a day for each gigabyte or part of a gigabyte above it, taken from your credits daily until your storage fits or you add a pack, and uploads stop meanwhile; before you confirm such a change your admin tells you the gigabytes over, the daily credits, that uploads will stop, and the pause below, and asks you to delete unused files first. If your credits run out, we email the store's owners the day the charge starts to be owed and again the day the store is paused, which is when three days' worth of charges is unpaid: shoppers then see a holding page and cannot order, your admin keeps working, and the store reopens as soon as your credits cover what is owed, your storage fits, or you add a pack. Clause 6.6 applies while the store is paused. If the store is still paused for unpaid storage after 90 days, and still cannot pay at that moment, files that nothing uses, not on any product, spin, collection, page, draft, social post or review, and not your logo or icon, are moved to the bin, once per pause, after emails to the owners 30, 7 and 1 days before; we email how many files went to the bin, they can be restored while the bin keeps them if there is room, and the bin's usual period then applies. Paying, fitting your space or adding a pack ends the pause and restarts that count. A file in use is never touched for a storage charge.
7.7 Free credits — a trial gift, a goodwill grant, a promotion — expire 12 months after they are granted (we email you 30 days and 1 day before) and may be withdrawn on notice if they were given in error or obtained by abuse. They are never refundable in money.
7.8 A generation that fails, or that we block for safety, is not charged. Where credits have been held for a job that did not complete, the hold is released. An AI answer (the assistants' replies, a help-box answer that reaches an AI, a look-up in your store, a voice readout) is charged for what it actually used at the rates on your credits page, with no ceiling per answer; an answer from the help library itself is free. Before anything you type is sent to an AI model, each person using your admin is shown a notice naming the models and the credit rules and agrees to it once, with their agreement recorded; questions asked by your staff are charged to your store. Search by meaning in your admin is free for 50 searches a day per store and then one credit each, and a product-type suggestion costs one credit when you ask for it, in each case said on the screen before the credit is spent; shoppers' searches on your store are never charged. your balance is the only limit, and the work stops before any step your balance cannot cover. A failed answer is not charged; a busy or dropped model call is retried first. Once an answer has started it runs to the end on our servers, within four minutes, and is saved and charged even if your browser disconnects or you close the box. If you have switched help history off for a chat, nothing of an answer is kept, so an answer lost to a dropped connection cannot be shown again although its credits were spent; the help box warns you of this before each paid look-up and lets you turn history on first. Credits set aside for an answer that never settled are released within two hours.
7.9 Automatic credit top-up. You may ask us to buy credits for you automatically. You choose the level below which your spendable credits must fall, and the credit packs and quantities to buy; when your balance falls below that level we request payment for those packs, at the prices on your credits page on that day plus GST, through the autopay mandate registered with your bank or UPI app. Your instruction on your billing page is your standing authorisation for those debits, and we record it with its wording and time. Each automatic payment is at most ₹15,000 including GST: a selection above that cannot be saved, and if a price change takes it above that, the top-up pauses and we email you. Each top-up is a separate debit and a separate credits invoice from your subscription, and the two may fall on the same day. Your bank or app notifies you at least 24 hours before each debit and you may refuse that debit from the notice; we also email you when a top-up is requested, when one fails and when the rule pauses. One top-up runs at a time; a refused debit is retried after a day, and after three refusals in a row the top-up pauses until you switch it on again. You may switch it off at any time; a debit already with your bank still goes through unless you refuse it there. Credits bought this way are bought credits under clause 7.5 and are not refundable. No fee is charged for the mandate.
8. The Studio, the assistant and other AI features
8.1 The Studio produces images and video from your product photographs and from instructions you or we supply. The assistant acts on your store when you ask it to — editing listings, drafting pages, answering questions about your orders — and shows you what it will do before it does it. All of this output is generated by machine. It will sometimes be wrong, unflattering or unusable, and you are responsible for checking it before you publish it or act on it.
8.2 What you may upload and ask for. You must have the right to use every photograph you upload. Do not upload someone else's product photography or brand, or a photograph of a person who has not agreed to it. Do not ask for images or video of any real, named or identifiable person, living or dead; of any third-party brand or logo; or of anything that would breach clause 17.
8.3 Children. Where you ask for a person who is a child, the Studio generates an invented child, in still images only — never video — and never in any sexualised context. We refuse and may report requests that breach this.
8.4 People in generated images are invented. They are not real and are not intended to resemble anybody. We take technical steps to avoid resemblance to real people; if you believe an output resembles a real person, do not publish it and tell us.
8.5 Labelling. Everything the Studio produces is labelled as AI-generated in two ways that cannot be switched off: an "AI generated" label is shown beside every Studio picture and clip wherever it appears, in your admin and on your shopfront, and a machine-readable record identifying the file as AI-generated is embedded in the file itself (PNG, JPEG and MP4). A file that cannot carry the embedded record is not delivered and is not charged. You may also choose to have a visible mark printed into the picture or clip by ticking that option before you generate; where you tick it, the Studio prints it on every image and on every frame of every video, including posters, spin frames and trims. In some countries we require a printed mark whatever you choose, and the generation screen tells you when that applies to your store. A copy you crop in your gallery keeps the label and the embedded record and, where the original was printed, the printed mark. You must not remove or obscure a label, an embedded record or a printed mark. You are also responsible for any further disclosure the law or a publishing platform requires — for example, that styling accessories shown are not included with the product. Where the model that made a file embeds an invisible watermark in the picture or video itself, we do not remove it; where a video file carries the model provider's content credential, we keep it. A label, record, mark or provider signal that is removed after the file leaves the platform, by you or by a service you publish to, is not removed by us, and you must declare the content as AI-generated wherever you publish it.
8.6 Ownership. To the extent we hold any rights in output generated for you, we assign them to you on generation, subject to the terms of the underlying model providers, which we will show you on request. You grant us a licence to store, display and process the output to run the service. The Studio keeps no copy of your output once it has been delivered to your gallery; the copy in your gallery is yours to keep or delete.
8.7 We check what is generated and refuse output that breaks our safety rules. Those checks are not perfect and are not a substitute for your own judgement. We do not keep what you typed, or the prompt built from it: they exist only while a job runs and are blanked when it finishes; the Studio service that runs the job keeps the prompt and brief, and a storyboard with its brief, in memory only, for 24 hours after the job last changed, so that a failed job can be retried, and holds generated files for 30 minutes unless they are saved to your gallery. We keep a record of each job — when it ran, what it cost, whether it was refused and, if so, the safety category — but not its prompt or its output.
8.8 Pictures and videos you upload that were made or changed by AI. When you upload an image or video — from anywhere, not only the Studio — we ask whether it was made or altered by AI. That includes other AI tools and a phone's generative editing. We record your answer against the file, with the email address of the account that answered, the date and time, which version of the question was asked, and whether it was answered at upload or later from your Gallery. Where the answer is yes, the file is labelled as AI-generated on your shopfront, and the answer is written into the file itself, so a yes cannot be taken back from the Gallery; if it was wrong, upload the original again and answer no. Some files already carry a machine-readable marker saying they were made or changed by AI; where one is present we label the file without asking you. Most files lose that marker when they are screenshotted, re-saved or passed through a social network, so the answer is usually yours to give, and you are responsible for it being true.
9. Your store, your goods, your customers
9.1 You are the seller. You decide what you sell, at what price, and to whom. You are the seller in every sale made through your store, and the e-commerce entity responsible for it under the Consumer Protection (E-Commerce) Rules. We are not a party to any sale. We do not run a marketplace, we do not buy or hold goods to sell, and we are not the e-commerce entity for your store: we provide the software on which you run it.
9.2 You are responsible for the accuracy of your listings, for the legality of what you sell, for holding every licence, registration, certification or hallmark the law requires for your goods, for delivering them, for handling returns and complaints, and for your own tax obligations. Everything you write on your store, including the line shown above your header, is yours and must be true; our content checks read it like the rest of your store.
9.3 Statutory pages. Your store must carry the information the law requires of a seller. We generate default pages for some of it — the privacy notice, the returns and refund policy, delivery terms, conditions of sale — from your settings, and you may edit them. Certain parts of those pages are required by law and cannot be removed; the rest of the words are yours. You must display, and keep current, your legal name, address, customer-care contact, grievance officer, and any seller identification number the law requires.
9.4 Product information. Where the law requires it, each listing must carry the manufacturer, packer or importer's details, net quantity, maximum retail price, consumer-care details, country of origin, date of manufacture or import, and any warranty. We provide the fields: common or generic name, who made or packed the goods and their address, maximum retail price inclusive of all taxes, month of manufacture, country of origin, importer, net quantity, best-before, warranty and guarantee. Two of them are required before a product can be sold: its country of origin, and the importer's name and address where the goods were made outside your store's country. The country of origin may be stated on the product, or inherited from its collection, its category or the default in your settings, the first that names one; where a product's collections name different countries, none is used and the product must state its own, and we never choose one for you. The rest are optional, because whether goods are pre-packed is yours to decide, and you are responsible for filling them correctly; a declared maximum retail price is shown as a fact beside the price, never as a discount, and no price on the product, on any size or colour, or restored when a reduction ends may exceed it, which your store refuses. Products in the bags category must state their type and material; faux leather is its own material and is never described as leather.
9.5 Prices. Once a product has been offered for sale, its price history is kept and cannot be deleted, because the law requires a price reduction to show the lowest price of the previous 30 days. When you announce a reduction we show that reference price, fixed at the moment of the announcement, and we will not publish a "reduction" that is not lower than it. You must not sell above the maximum retail price, and your store refuses a price above a maximum retail price you have declared (clause 9.4). Where a product is priced by size, colour or their combination, your store shows the lowest of those prices as "From ₹X" until the shopper chooses an option, sorts and filters by that lowest price, and shows each option's own price and GST once chosen; the 30-day reference price is kept for the listed price and for each option separately.
9.6 Invoices to your customers, and where you may deliver. Every sale must be accompanied by a document to the shopper. If you hold a GSTIN and have switched GST on in your settings, your store issues a tax invoice in your name. If you are a composition taxpayer, it issues a bill of supply. If you are not registered, it issues a bill without tax. Whatever document your store issued, a refund, a cancellation after the document, an undelivered cash parcel, an exchange or a returned extra payment produces a numbered credit note against it: one reversing GST where the document was a tax invoice, and one reversing no tax where it was a bill or a bill of supply. A store that is not registered for GST, or is a composition taxpayer, delivers only within its home state: the state of the address its goods are dispatched from, which must be the state of your registered address. Before any payment is taken, your store refuses a delivery address in another state or outside India, and a buyer's GSTIN from another state, and it tells shoppers on every page, on each listing and on your delivery page that it delivers within that state only. The restriction lifts on the day you add your GSTIN and switch GST on, and we record that date. While the register shows your GSTIN active as a regular taxpayer, your store charges GST and cannot be switched off; if the register shows you as a composition taxpayer, your store issues bills of supply and charges no GST, and the setting follows the register. If the register shows your GSTIN suspended or cancelled, the switch is turned off for you that day and we email you: your store then sells as an unregistered seller, with bills without tax and delivery within its own state, until the register shows the GSTIN active again or you check a new one; the old number stays on your record, and invoices already issued keep it. Each invoice carries the registration valid on the day it is issued. We may suggest an HSN code and a GST rate for a product from its category and, for sarees, its fabric, if you switch that on; a suggestion is not tax advice, and before a product is published in a GST-registered store you confirm that its code and rate are correct. For clothing sold under a price slab, the rate on each piece is chosen at checkout from the price the customer pays for that piece, following the slab the law sets. You are responsible for registering for GST when the law requires it, for entering the rate and HSN code on each product, and for the invoice series in your name. We do not give tax advice; confirm rates and codes with your adviser.
9.7 Returns and refunds. You choose your returns policy, including no returns for change of mind. Whatever you choose, the law requires you to take back and refund goods that are defective, damaged, not as described, or delivered late, and that requirement stays in your returns page. Refunds are made within seven days of the goods reaching you, or of approval where you do not need them back, to the method the customer paid with. A refund is always of the amount invoiced and paid for the item, after any coupon or points, never its price on the day of the refund; a sale or price change after the order does not change a refund. A size exchange is allowed only to another size of the same item, with the same colour and options, chosen from sizes in stock, and only with your approval before anything is sent. Unless you switch on priced exchanges, it moves no money: the new size must share the current price, and where no other size does there is no size exchange and a refund is offered if your policy allows returns. Where you switch on priced exchanges, the new size is charged at its price on the day you agree: the item sent back is credited at the amount invoiced for it, a new invoice is issued for the new size with any discount code still running, the customer pays the difference before collection or is refunded it to the original payment once the item reaches you, and a difference the customer owes up to the amount you set is let go; the original invoice is never edited. Where you allow it, a customer may cancel an order from their order page until the courier has picked it up, or until you mark it dispatched when you ship by hand; the full amount paid, delivery fee included, is refunded to the original payment method with no cancellation charge, and the order's invoice is reversed by a credit note. Your store's cancellation page states the window, the refund and its timing.
9.8 Cash on delivery. Cash on delivery is offered only inside the payment window provided by your payment gateway, where you have switched it on in your settings and the gateway has activated it on your account. Where a customer chooses it, your courier collects the cash and you record its receipt; the gateway does not handle the money. Cash-on-delivery orders are limited to the amounts you set, always below the cash limit the law sets, and your store may refuse cash for a particular order or delivery address. A signed-in customer may have only one cash-on-delivery order open with your store at a time. Refunds for cash orders are paid by you, by UPI or bank transfer, and you record the reference; a parcel refused or cancelled before delivery is cancelled with a credit note and nothing to refund. No fee is charged for cash on delivery. Cash on delivery is available only where we have enabled it for your store; where we have not, it is not offered to shoppers, your settings for it are kept, and it resumes if we enable it again.
9.9 Reward points. Points you offer are your scheme and your promise to your customers. We provide the mechanism. Publish the scheme's rules on your store; points may not be sold, transferred or exchanged for cash.
9.10 Your customers' personal data. You are the data fiduciary for your customers. We process their data on your behalf, only to run your store, under Schedule 1.
9.11 Reviews. Only verified buyers may review. You may reply to a review; you may not delete, hide, reorder or select reviews. Only we remove a review, and only under our published review rules. Your store accepts photographs with reviews unless you switch that off in your settings; they count towards your storage. Switching it off stops new photographs and never removes existing ones. You may remove the photographs from reviews older than twelve months to save storage; the text and rating are never removed. You must not write, buy or solicit reviews that misrepresent themselves as independent.
9.12 Checking your business. Before your store opens in India, and from time to time afterwards, we check your business against the government register and confirm that it is yours. The register check looks up your GSTIN or, without one, a company's CIN, an LLP's LLPIN or your Udyam Registration Number: a GSTIN, CIN or Udyam number through our verification provider, and an LLPIN by our team by hand, with a note of how it was checked. Whichever number is checked is the seller identification shown on your store's legal page. Ownership is confirmed either by you, as sole proprietor or as a director of the company, signing in on DigiLocker and sharing your PAN record (we never see your Aadhaar number, and we keep your PAN only partly hidden), or by a code we email to the address the register holds for your business. The legal name and address the register holds then become your store's and are locked; a company checked by its CIN keeps its own address. Your first two checks are free; a further check you ask for is charged in credits at the rate on your credits page, and checks we run ourselves are never charged. We record your consent to each check with the wording you saw. We re-check the register ourselves, weekly for a GSTIN or CIN and monthly for a Udyam number. New orders stop at once if the register no longer finds your registration or shows it inactive (for a GSTIN shown suspended or cancelled, clause 9.6 applies instead and orders continue as an unregistered seller), or if your store's tax settings contradict what the register shows, and seven days after the register's name or address changes unless you fetch the new details, which is free; orders resume the moment the position is put right, and clause 6.6 applies while they are stopped.
9.13 Changes after an order is paid. For a period you set, between none and 60 minutes and 15 by default, a customer may correct their own delivery address, phone number and email after paying. Beyond that, your store may ask a customer for an additional payment on a paid order only with a stated reason, for example an address change to a dearer delivery area; the customer may decline, in which case the change is not made. An additional payment is taken through the same payment account as the order. Where the order carries a tax invoice, the payment is documented by a debit note against that invoice, in its own series, naming the invoice and its date; otherwise it receives its own document in the order's series naming the order. A refund of it is a credit note naming the debit note and the invoice. Where a customer's delivery state changes after a tax invoice has been issued in a GST-registered store, the store keeps the original invoice unchanged, issues a credit note against it and a new invoice with the tax re-split; that change is refused once any part of the order has been refunded or once 30 November after the financial year of the invoice has passed, and a store without a GSTIN or on composition cannot make it (clause 9.6).
10. Payments taken, and parcels sent, by your store
10.1 Your store takes payment through your own payment gateway account, in your own name. Money from your sales settles to you, not to us, and we never hold it. You must not route your sales through any account of ours, and you must keep the information you gave your gateway accurate.
10.2 The gateway's own terms apply to that account, including its fees, its settlement times and its rules about what may be sold. Chargebacks and disputes on your sales are between you, your customer and your gateway.
10.3 Money you pay us — subscription fees, credits and paid services — is a separate matter and settles to us.
10.4 Deliveries. Where you connect a shipping or courier account to your store, it is your own account, in your own name, on that company's terms. We pass it the order details it needs to book a pickup and send tracking back to your store. We do not book, carry, insure or store parcels, and we are not a party to your contract with the courier. You may charge customers for delivery by area, with one fee for your own area, one for the rest of your state and one for the rest of India, and a threshold above which delivery is free; the fee is shown before the customer pays, is taxed with the goods it carries, and is refunded when a whole order is cancelled before dispatch and, where you confirm, on inspecting a returned item, that the return was the store's doing (damaged, wrong item or wrong size sent, not as described), the fee's share for that piece, with the remainder once every piece is back; a return because the item does not fit, or for a change of mind, keeps the fee, and the returns page says both. The customer's stated reason never moves money by itself; the refund on receipt covers the pieces, and the fee's share follows your confirmation. On a cash-on-delivery order the share is paid with your manual payout instead. If you hold a GSTIN you may also switch on delivery abroad, with one flat fee and usual days shown at checkout. Delivery abroad requires your Import Export Code and a Letter of Undertaking for the current financial year recorded in your settings, and is withdrawn each April until the new Letter is entered. An order abroad is accepted only where the payment was made with a card or wallet issued outside India; it is invoiced at dispatch, in a separate export series, as an export under the Letter without integrated tax at the price before GST, with the endorsement the GST rules prescribe, your IEC, your Letter's reference and the country of destination on the invoice, and an eight-digit HSN code on every item. An order abroad may not exceed the limit on your settings, ₹10 lakh unless you change it, and goods of precious metal are not offered abroad. An order to the United Kingdom whose goods come to £135 or less, after any coupon and before delivery and duties, at the exchange rate of the day, is refused unless you have recorded a UK VAT number on your settings, because UK law requires the seller to charge UK VAT on such a consignment; the number is checked for format only and printed on the invoice, and your UK VAT is between you and HMRC. Your store cannot deliver to Pakistan, because postal and shipping links from India are suspended, and to the Democratic People's Republic of Korea, which Indian law prohibits; for other destinations under sanctions or without reliable carriage the checkout warns and the choice is yours. Your admin prints a packing list for each export order, which you complete and sign for the courier. You record the courier shipping bill number, its date and the port code on the order when the courier files it, and your admin gives you the month's export rows for your GST return. Customs duty and taxes at the destination are the customer's, and the checkout tells them. Where you switch it on, a customer abroad may instead prepay a fixed amount for destination duties and taxes at checkout, taken from the courier's estimate and shown as its own line on the order and the invoice; it is sold as fixed, with nothing more to pay on delivery, not refunded if the actual duty is lower, and not refunded once the parcel has left India; you then pay the courier the actual duty and carry any difference. It is not offered for United Kingdom orders of £135 or less. The £135 test is applied again when a courier is booked, when you mark an order dispatched and on a part refund before dispatch, at that day's exchange rate; where it fails without a UK VAT number on record, the step is refused and the whole order is cancelled and refunded instead. Once duties have been prepaid, the order's destination state or province and postcode cannot be changed, by the customer or by you; the street, city and phone can, and a different destination means cancelling and ordering again. A parcel abroad is declared to customs at the value each piece was sold for before GST and after any discount, which is also the value the duty estimate uses. Your courier account for parcels abroad cannot be connected or used without your Import Export Code recorded in your settings, which goes with every export booking. You ship by your own arrangement and are solely responsible for customs, export paperwork and any return from abroad.
10.5 Shipping charges, weight or size disputes, return-to-origin charges, cash-on-delivery remittances, and claims for parcels that are lost or damaged are between you and your courier. Declare weights and sizes accurately; a courier's re-weighing charges are yours.
10.6 We are not responsible for a courier's failure, for a wrong status it reports, or for a delay in its tracking updates.
11. Customer complaints
11.1 Your store has a complaints system. When a customer submits a complaint, the system issues a complaint number and sends the customer an acknowledgement in your store's name at once, asking them to confirm their email address with a code; once the code is entered, the customer receives a copy of the complaint as recorded, and you receive yours. The law requires you to acknowledge within 48 hours — the system does this for you — and to resolve the complaint within one month of receiving it. A complaint that is not confirmed within seven days is deleted.
11.2 The complaint is yours. You are the seller, the e-commerce entity and the grievance officer for your store. Only you answer a complaint, only you decide how it is resolved, and only you provide any remedy. We are the software provider: we do not answer complaints, negotiate with your customers, offer or pay remedies, or decide disputes, and nothing in these terms appoints us to do so.
11.3 You must respond to each confirmed complaint within 45 hours of the customer confirming it. A response is a message from you to the customer in the complaint thread, or accepting or resolving the complaint with a note the customer sees; opening or reading a complaint is not a response. The system reminds you by email and in your admin, hourly from the 24th hour.
11.4 If you have not responded within 45 hours, the system sends the customer a status message in your store's name saying that the store has not yet responded, restating your grievance officer's details, and telling them they may take the complaint to the National Consumer Helpline or a consumer commission. The system sends you a formal warning to your account email, and your store is marked as at risk in your admin. That is all that happens; the complaint stays with you.
11.5 Consequences of not responding. These are steps about your use of the platform, not about the complaint itself, and they are applied by the system as a rule, not by a person's judgement. While a confirmed complaint has gone unanswered for seven days after the warning, or three or more confirmed complaints are unanswered within any thirty days, your shopfront is paused under clause 19.3: no new orders are taken. The pause lifts by itself the moment every such complaint has your response. If a complaint is still unanswered thirty days after the warning, we may close your store under clause 19.5; a person confirms only that the rule is met. Pausing or closing a store does not resolve, and does not make us responsible for, any complaint.
11.6 If a customer writes to us about your store, we tell them that we provide the software and that the store is run by you, give them your grievance officer's details, forward their message to you, and keep a record. We do not respond on the merits. Complaints about the platform itself, or about our handling of personal data, are ours and are answered by our grievance officer.
11.7 Where a court, a consumer commission or a government authority directs us in relation to your store, we comply and tell you as the law allows.
11.8 Complaint records. Every message in a complaint — the customer's, yours, and the system's — is stored on your behalf on our servers in India, so that you can answer the complaint and any dispute that follows it. We keep a confirmed complaint and its messages for three years after it is closed, then delete it, unless a dispute about it is still open or the law requires longer. We keep our own log of the steps in clauses 11.4 and 11.5 — complaint number, times and statuses, not the content — for three years after your store closes. Our team sees the status of a complaint (answered or not, and when) to apply clause 11.5; it reads the content of a complaint only where a court or authority requires it, where you ask us to, where the complaint is about the platform, or to investigate abuse of the complaints system; the actions our team takes on a complaint are recorded with who took them.
11.9 National Consumer Helpline. From 1 January 2027 the law requires every store to be enrolled as a partner of the National Consumer Helpline in its own name. With your recorded consent we prepare the authorisation letter and undertaking from your details; you review, sign and submit them. From 1 December 2026 a new store cannot open until it has recorded its application. From 1 January 2027 a store trades only while it appears on the Helpline's published partner list and our team has confirmed the match; until then it is paused under clause 19.4. An application on its own, or a screenshot, does not keep a store open. Apply early: the Helpline's processing time is not in our control, and clause 6.6 applies while a store is paused.
12. Your store's address
12.1 Every store is reached at a sub-domain of raxcube.shop: first the temporary address assigned at signup (clause 4.8), then the permanent address you choose (clause 4.9), which is allocated to you for as long as your store is open. It is not your property, and the raxcube.shop domain is ours.
12.2 You may change your sub-domain for the fee shown on your billing page (currently ₹2,000); your old address redirects to the new one. A sub-domain that a store has traded under is never allocated to anyone else.
12.3 We may change or reassign a sub-domain, on notice to you, where it infringes someone's rights, where a court or authority requires it, or where it is needed to protect the platform or other stores. A complaint that a store name or sub-domain infringes a trademark is sent to legal@raxcube.com and handled under clause 15.
12.4 Custom domains. You may use your own domain for your store, whether you buy it through us, transfer it to us, or keep it with another registrar and connect it. (a) Charges, plus GST. A store that uses its own domain pays one domain fee of ₹2,999 a year, carried by one of its domains, for the DNS, security certificate, forwarding and mail records we run for it. Each further domain the store holds, bought through us or connected, carries an additional-domain fee, currently ₹499 a year, shown on your billing page. A domain registered or transferred through us also pays the registrar's charge for the registration, transfer or renewal plus our margin of 10%, quoted to you before you pay; premium names are not offered. Any mailbox you add is charged separately, is ordered in your business's name as the mailbox provider's customer, and is available on a domain bought through us, transferred in or connected, but not on a sub-domain. These fees are separate from one another and from your subscription, except where your plan states that it covers the domain fee and the additional-domain fee for a stated number of domains; the registrar's charge for buying, transferring or renewing a domain is never included in any plan, and you confirm that you understand this before paying for such a plan. If you leave a plan that covered domain fees, or your store is parked because it is paused, cancelled or unpaid past the week to renew late, the remainder of each covered domain's service year is billed pro rata on its own invoice at that moment, without refund; asking to pause keeps the cover until the paid term ends; moving to such a plan after fees were paid brings no refund, and the cover starts at each domain's next anniversary. Each covered fee appears on your invoice as a line at ₹0 marked as included with your plan. A domain order priced with plan cover but paid more than a day later, or after you have left the plan, is released unregistered and its payment authorisation lapses. Each domain is invoiced on its own, except that a domain bought or connected at a paid signup goes on the first term's invoice with the plan, as its own lines, and its renewals are invoiced on the domain's own anniversary. A domain registered or transferred through us can be renewed for a year from your admin from 45 days before its registration ends: before you pay you see the registrar's renewal charge plus our margin, the yearly fee (or ₹0 where your plan covers it), GST and the total, and you accept the registrar's renewal terms in an unticked box; your payment is held while we renew at the registrar and is taken only once the renewal succeeds, with the invoice issued then; if the registrar refuses, the price has risen above the quote, or the renewal otherwise fails, the whole hold is released and nothing is invoiced. Renewal adds one year to the registration and to your paid-through date. We email you 30 and 7 days before a registration ends. Renewal is yours to start; we do not renew a domain automatically, and autopay is never switched on for you. A connected domain is renewed at its own registrar. (b) Payment and registration. Before you pay for a name you give the owner's name as it appears on their government identity document, because the registrar may verify it, and it is passed to the registrar as the registrant; you accept the registrar's terms in an unticked box; and you are told that the registry will email the registrant to verify the address within 15 days, failing which the name is suspended, and that for a .in name the registry may ask for identity verification. When you buy a domain from your admin, your payment is held and taken only for the names the registry registers. When you buy one at signup, the single payment for your first term is taken, and if a name does not register its share of that payment, GST included, is refunded within a day of our learning the outcome, at the gateway's normal refund speed, with a credit note. If the name that was to carry the store's domain fee is not registered, the next name in the same order that is registered carries it instead. A transfer in is priced before you pay at the registrar's transfer charge plus our margin, together with the store's domain fee where the domain will carry it; your payment is held until the registrar accepts the transfer and is refunded in full if the transfer has not completed within 14 days or the registrar drops it; the authorisation code you give us is passed to the registrar and then deleted from our systems. Connecting a domain you already own is charged when you connect it, or at signup with your first term, in which case the fee covers the year whether or not you point the domain at us. (c) Number of domains. A store may hold up to 10 domains; we may raise that limit on request, to at most 100. A lower limit never removes a domain a store already holds. (d) Sub-domains. A sub-domain of your domain may be the address of another store of yours, which pays its own domain fee. A sub-domain may not be a second shopfront of the same store; there it is only an additional domain that forwards to the store's main address. Sub-domains of our own domains, other than the store address we allocate under clause 12.1, are not available. A domain of yours may also show a page we build that lists your stores; that page is not available on our own domains. (e) Ownership. Where we register or transfer a domain for you, you are the registrant and owner; we never hold your domain in our own name. You may transfer it away at any time the registry allows, subject to the registries' rule that a domain cannot be moved within 60 days of being registered or moved in, which your admin states. You obtain the transfer code yourself from your admin, "Move this domain away", after confirming in the page; it is shown once and emailed to the registrant address on record, and your request also lifts the registrar's transfer lock. This works while your store is unpaid or closed. Someone who cannot sign in may use our public claim page, which sends the code only to the registrant email on record, at most once a day, and gives the same answer whatever name is typed; a public request never lifts the lock. If you no longer control the registrant mailbox, write to us from your account email and we will ask you to prove that the store and the domain are yours before our team sends the code, which it records with its reason. The code is available at once and in any case within five calendar days of a request, as the registrars' transfer policy requires, and we email it to the registrant 30 and 7 days before a domain expires, and with any notice that a domain is lapsing. (f) Non-payment. If a domain's fee or renewal is not paid by its due date, we send reminders and, after a grace period of 15 days, we stop serving your store on that domain, remove it from our systems and send you its transfer code; your store continues at its other addresses. We do not renew a domain whose charges are unpaid, and it may then expire and be registered by someone else. We are not responsible for what happens to a domain after it has lapsed or been transferred away. A domain can be renewed while your store is paused or unpaid, and pausing your store does not pause a domain's registration, which runs on its own dates; buying a domain is not possible while the store is paused or unpaid. We do not renew a domain automatically, and we do not pay a registrar for a renewal before we have received your payment for it. (g) Refunds. The domain fee, additional-domain fees and registration charges are not refundable once the registry has registered the name or, for a connected domain, once we have set it up on our side, except as clause (b) provides. Abuse complaints about a domain are handled under the registrar's and registry's rules. For .in domains the registry requires registrant identity verification (e-KYC), which the registrar runs; you must give accurate details and complete it.
13. Social media publishing and advertising
13.1 Where you connect your Instagram account, your Facebook Page, or (where we have enabled it for your store) your WhatsApp Business account, or another account, we publish and send through them only on your instruction, in your name. Connecting is done through Facebook's own sign-in dialog, where you choose what to allow. You are the publisher of everything posted, and those platforms' terms apply to you. Where you sync your catalogue to a network, each size and colour is sent as its own item at its own price and stock, grouped as one product. A store may keep two catalogues at Meta, chosen from your own Meta business: one for WhatsApp and one for Instagram and Facebook.
13.2 Advertising is run from your own advertising account and paid with your own payment method; Meta bills your card, not ours. We do not fund, hold or re-bill advertising spend. A campaign you create in your admin is created paused, and starts only after you confirm its maximum spend on screen; you can pause it, change its budget, end date and audience (countries, ages from 18 to 65, gender) and delete it. We manage only campaigns created through RaxCube; others in your account are shown read-only. You are the advertiser and responsible for the content and the law that applies to it.
13.3 You may disconnect an account at any time; publishing stops when you do. Where your plan stops including social features, publishing, catalogue sync and WhatsApp basket replies pause, nothing is disconnected or deleted, your connections, published posts and your own Meta catalogue are kept and your own Meta assets are never touched without your click; order updates a customer opted into before the change keep arriving until that order is delivered; a customer who messages a paused shop on WhatsApp receives one reply pointing to your website; and moving back to a plan that includes social resumes everything. You can disconnect your social accounts and delete the data Meta gave us from your admin even while your store is unpaid or closed; leaving never waits on a payment.
13.4 When you connect an account, the network gives us a key that lets us post for you. We keep that key encrypted, never show it on a screen, and delete it when you disconnect, or within a day of our daily check finding that you removed our access at Meta; where the key expires, your admin shows the date and reminds you to reconnect 14 days before. The record of what was already published — the post, when, and where — stays in your admin, with a link to open each post on the network, because it is the only account of what went out in your name. You can also withdraw our access from the network's own settings; if you do, publishing stops.
13.5 Newsletters. Where your plan includes it, your store may send email editions to subscribers who confirmed their subscription by email, every week or every two weeks as you choose. An edition is drafted from your own catalogue, the products published since the last edition and then price reductions; the words are yours to write, or drafted by AI for credits at the rate on your credits page, and you may edit every word. Unless you switch on automatic sending, nothing is sent until you approve it, and an edition you neither approve nor skip lapses when the next is drafted; editions go out at most once a week, so one approved within seven days of the last is scheduled for seven days after it, and the editor tells you when. You are the sender and responsible for the content of every edition, including under the rules on advertising. Every edition goes out in your store's name from our mail service with replies to your support address, carries your legal name and address, the date the recipient subscribed, a link to your privacy notice, the date its prices were taken, and a one-press unsubscribe that takes effect at once and that nothing you do can override; nobody who has unsubscribed is sent another, and no tracking image is used. Your store shows only the latest sent edition on its newsletter page, at live prices, and never shows a product in a category you may no longer sell. Subscribers join by a box in your store's footer, by a corner invitation you may keep on and whose heading and line are your own words, both confirmed by a link the subscriber presses in an email; by an unticked box at checkout, acted on only once the order is paid and confirmed the same way; or by a switch in their account, which for a shopper signed in with a verified email address takes effect at once; leaving takes effect at once from any of them. The consent wording is ours and is kept with each subscription. Automatic sending. If you switch it on, each edition the schedule drafts is written by the AI writer you chose, charged the usual credits (with too few credits nothing is written or sent), and read by our content check; if the check flags it or cannot run, nothing is sent, the edition waits for you with a note saying why, and we email you. If it is cleared, it is approved to go no sooner than six hours later, and we email you the edition with a link and a button to hold it, which works until the first message is queued. An edition you draft by hand never sends itself. Turning automatic sending off brings back, unsent, every edition it approved that has not started going. Our check is for safety, not approval of your claims, and you remain the sender. WhatsApp. If you also switch on sending by WhatsApp, an edition goes, as one marketing message from your own WhatsApp number through your own WhatsApp account, which the network charges you for each message, only to customers who ticked the WhatsApp offers box at checkout and have not replied STOP; it carries a one-line summary, a button to the edition's page on your store's address, and "Reply STOP to stop these messages". It is sent only once the network has approved your marketing template, is kept entirely apart from order updates, and where WhatsApp cannot be used the edition still goes by email. Before you approve, the screen tells you how many numbers it will reach and that your account is charged.
14. Your data
14.1 Your catalogue, orders, invoices, price history and customer records are yours. We hold them to run your store, and we do not sell them.
14.2 You can export your orders and invoices at any time while your account is open, and for 90 days after a term ends or your account closes.
14.3 When a term ends without renewal, your shopfront closes. The photographs and media you uploaded are deleted 30 days later. Your invoices, credit notes and the orders behind them are kept for eight years from the end of the financial year they belong to, so that they are there for as long as tax law requires you to keep them. Your products, complaint records, price history and everything else are kept for three years after the store closes, then deleted.
14.4 When you close your account, or we close it, you may export your orders and invoices for 90 days, unless the law prevents it. After that we delete your data on the same schedule as clause 14.3.
14.5 We keep the records we are required by law to keep — our invoices to you and our tax records in particular — for as long as the law requires, whatever else is deleted.
14.6 Security. We protect your data with encryption in transit and at rest, access controls, logging, and regular backups, and we restrict our own staff's access to what their work needs. No system is perfectly secure, and we do not promise that ours is.
14.7 Breaches. If we become aware of a breach of security affecting your data or your customers' data, we will tell you without undue delay, and in any case within 48 hours, with what we know, so that you can meet your own obligations to your customers and the Data Protection Board.
15. Content checks and evidence
15.1 We check the content your store shows the public — listings, pages, images, your store's name — against clause 17 and the law. The check is automated, including by systems that read text and images, and may be run by service providers outside India. It does not extend to your drafts, your orders, your customers, or anything else not on public display.
15.2 Where a check raises something in your published text, a person reviews it before we act, except where the law requires removal within a time that does not allow for it. Four things are done automatically, without a person: an upload that our checks rate as plainly unlawful or dangerous is blocked and deleted at upload; a review photograph the checks cannot clear is not published; Studio output that fails our safety rules is not delivered; and a published listing that our checks rate, with high confidence, as plainly illegal, as a regulated product offered without its licence, or as deceptive is unpublished at once and then reviewed by a person, who tells you and hears your dispute. We tell you what we removed and why, and you may ask us to reconsider. Where a picture is removed, held or stops being public, any copy kept by the network that carries our traffic is purged within about two minutes. A dispute about a check is decided by a person on our team; a listing we have taken down stays down until it is decided, a listing still showing under a notice keeps its clock stopped while the dispute is open, and you may have at most ten disputes open at a time.
15.3 Where a check raises something serious we may keep a picture of the page as it looked at that moment, so the person reviewing it reads what was actually published and so the decision can be explained afterwards. It is only ever a page your store was already showing the public. We keep it as part of the record of that review; it is not part of your store's files and does not count towards your storage.
16. Availability, support and other companies
16.1 We aim to keep the platform available at all times and will give notice of planned maintenance where we reasonably can. We do not guarantee uninterrupted availability and do not offer a service credit for downtime unless we have separately agreed one with you in writing.
16.2 Support is provided by email and through the help surfaces in your admin. We answer as quickly as we reasonably can; no plan includes priority support or a promised response time.
16.3 Some features depend on other companies — payment gateways, shipping providers, AI model providers, email delivery, social networks. Where one of them fails or withdraws a service, we will do what we reasonably can, but we are not responsible for their acts or omissions.
17. What you may not do
17.1 Do not use the platform to sell anything unlawful, to infringe anyone's rights, or to deceive your customers. Do not sell anything in Schedule 2, or anything in a restricted category without the licence or certification it requires.
17.2 Do not use dark patterns — false urgency, hidden charges, pre-ticked consent, or anything on the Central Consumer Protection Authority's list — on your store. A countdown your store shows under a price is only ever the real end of a price offer you announced, which the platform enforces and never resets or restarts for a visitor; an offer with no end shows none.
17.3 Do not generate, upload or publish material that sexualises a child, that is created to harass or defame a person, that impersonates a real person or business, or that shows a real person without their agreement.
17.4 Do not attempt to break, overload, reverse-engineer or gain unauthorised access to the platform, and do not resell access to it without our written agreement.
17.5 Do not use the AI features to generate content at a scale or for a purpose unrelated to your own store — for example, to run a generation service for others.
17.6 Do not send marketing messages to customers who have not opted in, and comply with the telecom regulator's rules for any SMS or calls you make.
17.7 Do not use a store name or sub-domain that infringes someone else's trademark or passes your store off as someone else's.
18. Intellectual property and confidentiality
18.1 The platform — its software, design, templates, documentation and brand — is ours or our licensors'. You have a non-exclusive, non-transferable right to use it to run your store while your account is open. You keep all rights in your own content and your brand.
18.2 You grant us a licence to host, store, copy, display and process your content, and to use your store name, so far as needed to run your store, provide the service and comply with the law. We may name you as a customer only with your consent.
18.3 Our name and marks. "RaxCube" and our logos are ours. You may say truthfully that your store runs on RaxCube, but you may not use our name or logos in a way that suggests we endorse, sponsor or sell your goods, and you may not register or use a name, domain or social handle confusingly similar to ours. Your store shows the line "Powered by RaxCube" at the foot of every page, linking to our site; it names us as the software provider and never as the seller, and it sits below your own legal name, address and grievance details. On plans that include removing it, you may switch it off under Theme in your admin; where it is shown, you must not alter, move or obscure it, and it returns if your plan stops including its removal.
18.4 Confidentiality. Each of us will receive information from the other that is not public — for us, your unpublished catalogue, prices, sales figures, customers and plans; for you, anything we tell you about the platform that we have not published, such as unreleased features, security details and non-public pricing. The one receiving it will use it only for this agreement, protect it at least as carefully as its own, and share it only with its own staff, advisers and service providers who need it and are bound to keep it confidential.
18.5 Clause 18.4 does not cover information that is or becomes public without the receiver's fault, that the receiver already had or develops independently, or that it receives lawfully from someone else. Either of us may disclose information where the law, a court or a regulator requires it, telling the other first where the law allows.
18.6 The duty in clause 18.4 lasts for as long as this agreement and for three years after it ends, and for as long as the information stays a trade secret or personal data. When the agreement ends, each of us will delete or return the other's confidential information on request, except copies that the law, clause 14 or ordinary backups require us to keep, which stay confidential. Your customers' personal data is governed by Schedule 1, not by this clause.
19. Suspension, pause and closure
19.1 Immediately and without notice, we may suspend or remove content, or suspend your store, where a court or government authority requires it, where content is plainly unlawful, where there is a security incident or fraud, or where continuing would expose us or other stores to serious harm. We tell you as soon as we lawfully can.
19.2 On seven days' notice, giving you the chance to put it right, we may suspend your store for a breach of these terms; repeated refusals of your uploads under clause 15 are a breach for this purpose, and a person decides. An unpaid renewal is handled under clause 5.5, and unanswered customer complaints under clause 11.5. Curing the breach, or paying, restores the store.
19.3 A pause is a suspension under clause 7.6, 11.5 or 19.2 during which your shopfront is closed but your admin, orders and data remain available to you, and clause 6.6 applies.
19.4 Compliance pause. From 1 January 2027 your store is paused while it is not confirmed on the National Consumer Helpline's partner list under clause 11.9. Clause 6.6 applies.
19.5 Closure by us. We may close your account for a serious or repeated breach, or where the law requires, on notice stating why. You may still export your orders and invoices for 90 days unless the law prevents it.
19.6 Closure by you. You may cancel renewal at any time from your billing page, and ask us to close your account at any time by email from your account email to legal@raxcube.com. We confirm the request under clause 2.5 and close the account within five business days of your confirmation. Unpaid invoices remain payable.
19.7 Ending the service ourselves. We may end this agreement without any breach on your part — for example, if we stop offering the platform, or stop offering it in your country — by giving you at least 60 days' notice by email. Clause 14 applies to your data, and we refund two things:
(a) the fees you have paid for the part of your term after the date the service ends; and
(b) the credits you bought that are unspent and unexpired on that date. Each purchase is refunded in proportion to what is left of it: what you paid for that purchase, before GST, multiplied by the credits remaining from it and divided by the credits it gave you — bonus credits included — together with the GST charged on that part. So a purchase of ₹10,000 that gave 11,500 credits, of which 5,750 are left, is refunded ₹5,000 plus its GST. Credits that came free — with your plan, as a trial or promotional gift, or as a goodwill adjustment — are not refunded, and bonus credits are never paid out on their own.
Credits held for a job still running when the service ends are released first and counted as unspent. The refund goes to the payment method you paid with, against a credit note for each original invoice.
20. Liability
20.1 Nothing in these terms excludes or limits liability that cannot lawfully be excluded or limited, including liability for death or personal injury caused by negligence, for fraud or fraudulent misrepresentation, for wilful misconduct or gross negligence, for our breach of Schedule 1, or for our breach of clause 18.4 (confidentiality).
20.2 Subject to clause 20.1, neither of us is liable to the other for loss of profit, loss of business, loss of goodwill, or for indirect or consequential loss, however caused.
20.3 Subject to clause 20.1, our total liability to you for everything arising in any twelve-month period is limited to the fees you paid us in that period.
20.4 We will provide the platform with reasonable skill and care. Beyond that, we do not warrant that it is fit for a particular purpose of yours, that it is error-free or uninterrupted, or that AI-generated output is accurate, appropriate or suitable for publication.
21. Indemnities
21.1 You will indemnify us against third-party claims, and the reasonable costs of dealing with them, arising from what you sell, what you publish, what you upload or ask the AI features to produce, your breach of the law, or your breach of these terms. That includes, in particular, claims arising from how you collect or use your customers' personal data, from your advertising and marketing claims (including under the Advertising Standards Council of India's code), and from the labelling, packaging and quantity declarations the law requires on your goods.
21.2 We will indemnify you against third-party claims that the platform itself, used as these terms allow, infringes an Indian intellectual-property right, provided the claim does not arise from your content, your instructions, or your combination of the platform with something else.
21.3 The party claiming an indemnity must tell the other promptly, let the other control the defence and settlement (but not admit fault on the claiming party's behalf without its consent), and give reasonable cooperation.
22. Changes to these terms
22.1 We may change these terms. When we change them in substance we publish a new version with a new version date, email your account email, and ask you to accept it the next time you sign in.
22.2 A change required by law, or needed for security, takes effect on the date we state, which may be immediate.
22.3 Any other change takes effect on its in-force date. You have 30 days from that date to accept it; we remind you by email during those 30 days. If you have not accepted by then, your shopfront is paused until you do, and clause 6.6 applies. If you do not want to accept, cancel renewal before the change lock and your store closes at the end of your term under clause 19.6.
22.4 Where a change materially reduces what you get for what you pay, we give you at least 30 days' notice, and you may cancel before it takes effect for a proportionate refund of the rest of your term.
22.5 Correcting a typographical error or clarifying wording without changing meaning is not a new version. The version in force for you is the latest one you have accepted, until we ask you to accept another.
23. General
23.1 Force majeure. Neither of us is liable for failing to perform because of something beyond our reasonable control — including outages of the internet, of a payment gateway, of a cloud or AI provider, natural disaster, epidemic, war, civil disturbance, strike, or an act of government — provided we do what we reasonably can to resume.
23.2 Notices. Notices to you are sent to your account email and are treated as received the next day. Notices to us are sent to legal@raxcube.com and, for legal process, to our registered office at the address in clause 1.1. Either of us may specify a different address by notice.
23.3 Assignment. You may not assign or transfer this agreement without our written consent. We may assign it as part of a transfer of our business, or to a company in our group, and will tell you if we do.
23.4 Entire agreement. These terms, Schedule 1, our Privacy Policy at raxcube.com/privacy.html, our refund and cancellation page at raxcube.com/refund.html, and the pricing and plan shown on your billing page are the whole of the agreement between us. Neither of us relies on anything said or written outside them, but nothing in this clause limits liability for fraud. If two of them disagree: Schedule 1 governs how personal data is handled; your billing page governs price and what your plan includes; and otherwise these terms govern over the published policies.
23.5 Severability. If any clause is found unenforceable, the rest stands, and the clause is read as narrowly as needed to make it enforceable.
23.6 Waiver. Not enforcing a clause on one occasion does not waive it.
23.7 Survival. Clauses 5, 7.1, 8.6, 9.6, 11.8, 14, 18 (confidentiality for the period in clause 18.6), 20, 21, 23 and 24 and Schedule 1 survive the end of this agreement.
23.8 Language. These terms are in English. A translation is for convenience; the English text governs.
23.9 Grievance officer. Our grievance officer is Anuradha, a partner of TECHNOSTAT LABS LLP, reachable at the registered office in clause 1.1; email grievance@raxcube.com; Monday to Friday, 10:00 to 19:00 IST. Complaints about the platform are acknowledged within 24 hours — including those that arrive outside those hours — and resolved within seven days, or within 36 hours where the complaint asks for content to be taken down.
23.10 Accepting electronically. Ticking the box on the signup page, or accepting a new version when you sign in, is a binding acceptance of these terms, recorded as described in clause 1.5; no signature on paper is needed.
23.11 No third-party rights. Only you and we may enforce these terms. Your customers, staff and anyone else have no rights under them, although your customers keep every right the law gives them against you.
24. Law and disputes
24.1 These terms are governed by the laws of India.
24.2 Before either of us starts proceedings, we will try to resolve a dispute by discussion: one of us writes to the other describing it, and we each make a senior person available to talk within 30 days. Where the dispute is a commercial dispute under the Commercial Courts Act 2015, pre-institution mediation under section 12A of that Act is compulsory before a suit is filed, unless urgent interim relief is sought; for any other dispute either of us may propose mediation under the Mediation Act 2023.
24.3 Subject to clause 24.2, the courts at Bengaluru, Karnataka, India have exclusive jurisdiction over any dispute arising from these terms, save that we may bring proceedings to protect our intellectual property in any court that can hear them. Nothing in this clause prevents you from bringing a complaint before a consumer forum where the law gives you that right.
Questions about any of this? Write to legal@raxcube.com before you accept.
Schedule 1 — Data processing terms
S1.1 Roles. For the personal data of your customers and staff, you are the Data Fiduciary and we are your Data Processor. For your own account data — your name, contact details, billing details, sign-in, usage and support records — we are the Data Fiduciary, and our Privacy Policy applies.
S1.2 What we process, and why. Customer names, contact details, delivery addresses, order and payment references, complaint records, reviews, saved addresses, marketing preferences and site-usage data; staff names, emails and activity; in each case only to provide the service described in these terms, on your documented instructions, and as the law requires. We do not process it for our own purposes, except in aggregated or anonymised form to operate and improve the platform.
S1.3 Your instructions. These terms, your store settings and the actions you take in your admin are your instructions. Clause 11 (customer complaints) is an instruction to send the automated acknowledgements, reminders and status messages described there in your store's name, and to forward to you anything a customer sends us. We will tell you if we believe an instruction breaks the law.
S1.4 Security. We apply the measures in clause 14.6 and keep them under review. We restrict access to staff who need it, bound by confidentiality.
S1.5 Sub-processors. We use the sub-processors listed in section 6 of our Privacy Policy, at raxcube.com/privacy.html#providers (currently: Razorpay — payments; Shiprocket — deliveries; Google — sign-in, and Analytics where you switch it on; Meta — Instagram, Facebook and WhatsApp where you connect them; Microsoft Azure (India) — hosting and storage, operational telemetry, and screening of uploaded images; Cloudflare — the network that carries traffic to the platform and your store; Resend — email delivery; Cashfree Payments — business verification; India Post — PIN-code lookup at checkout; OpenAI, Google and xAI — Studio generation; OpenAI — store search; Anthropic — the assistant and content screening), some of which process data outside India. We will give you at least 30 days' notice on that page before adding one, and you may object on reasonable data-protection grounds; if we cannot resolve the objection you may end the affected feature or this agreement. Every sub-processor is bound by written terms at least as protective as this Schedule.
S1.6 Transfers. Personal data may be processed outside India by the sub-processors so marked, except to any country the Central Government restricts by notification, and subject to any stricter rule of sectoral law.
S1.7 Breaches. Clause 14.7 applies. We will help you with the notifications the law requires of you.
S1.8 Rights requests. We provide tools for you to answer customers' requests for access, correction, erasure and nomination, and to act on withdrawal of consent. Where a customer writes to us directly, we pass the request to you within three business days unless the law requires us to act ourselves.
S1.9 Retention and deletion. We keep customer data for as long as your store needs it under your settings and clauses 11.8 and 14, delete it on your instruction where the law allows, and delete or return it at the end of this agreement on the schedule in clause 14, except records we must keep by law. Where a customer asks for erasure, you decide; where a complaint record is needed to answer or defend a claim, you may instruct us to keep it without the customer's name and contact details until the claim is closed or the period in clause 11.8 ends.
S1.10 Audit. On reasonable written request, no more than once a year, we will give you a written description of our security measures and evidence of compliance with this Schedule sufficient to meet your obligations.
S1.11 Your obligations. You must have a lawful basis for the data you collect, publish a privacy notice on your store, collect only what you need, obtain consent where the law requires it, and not instruct us to process data unlawfully. You are responsible for your customers' rights and for notifying the Data Protection Board and affected persons of breaches as the law requires; we assist under S1.7.
Schedule 2 — Prohibited and restricted goods
Prohibited. Anything illegal to sell in India; counterfeits; weapons and ammunition; drugs and narcotics; tobacco, e-cigarettes and vaping products; alcohol; wildlife, ivory and animal parts protected by law, including skins and leather of crocodile, alligator, snake, python, lizard, ostrich, stingray and other wild animals (exotic skins), with or without trade papers, which the platform refuses on save; cow, buffalo and goat leather, faux leather, and embossed or printed cow leather or PU are allowed; antiquities without a dealer licence; stolen goods; lottery, gambling and betting products; hazardous materials and fireworks; human remains and body parts; material that sexualises children; anything that infringes someone's rights.
Restricted — requires the licence, registration or certification shown, entered in your admin and verified by our team before the category or product opens. Food and beverages (FSSAI); drugs, medical devices, cosmetics and Ayush products (Drugs and Cosmetics licences; online sale of medicines is restricted); gold jewelry (jeweller's BIS registration; every article hallmarked with its HUID; a jeweller with annual turnover up to ₹40 lakh may declare the exemption instead); footwear (BIS ISI licence, CM/L number); electronics and appliances (BIS CRS registration, R-number); toys, helmets, pressure cookers and other goods under a BIS Quality Control Order (ISI/BIS certification); pre-packaged goods you manufacture, pack or import (Legal Metrology registration); seeds and pesticides; plants; currency, coins and stamps as collectibles (subject to law). BIS offers no public verification service, so our team checks each certificate by hand against the BIS registers; a category stays closed to you until that check is complete.
Currently closed on this platform, until a verification process is in place: toys (BIS Quality Control Order); footwear; electronics and appliances, including household electrical appliances under the 2026 Quality Control Order; gold jewelry (any article whose metal is gold); diamond jewelry, natural or lab-grown. Imitation jewelry (fashion jewelry, one-gram gold, gold-plated), silver, platinum and other stones are open.
When gold jewelry opens, every invoice for a hallmarked article must show, per article: the description, the net weight of precious metal, the purity in carat and fineness, and the hallmarking charge; and must state that the consumer can have the purity verified at any BIS-recognised Assaying and Hallmarking Centre (BIS Guidelines HM/Jeweller/Guidelines/2, clause 7.3; Hallmarking Regulations 2018). Showing the HUID on the invoice is voluntary; the jeweller records the sale in the BIS HUID transfer module.
